Welcome to The Winning Notary Formula™. These Combined Terms of Use (“Terms”) govern your access to and use of The Winning Notary Formula™ website (the “Website”) and The Winning Notary Formula™ Calculator mobile application (the “App”).

1. Acceptance of Terms

By accessing or using the Website and/or the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Website or the App.

2. Purpose of the Website and App

• Website: The Website is intended for your personal, noncommercial use to view material related to The Winning Notary Formula™ products and services.
• App: The App is a business tool designed to help notaries generate real-time quotes for their services. It is provided for business use only and should not be considered legal, financial, or tax advice.

3. Accounts and Subscriptions (App Specific)

To access certain features of the App, you must create an account and purchase a subscription. You agree to provide and maintain accurate, current, and complete registration and billing information.

• Automatic Renewal: Your subscription to the App will automatically renew at the end of each billing cycle (either monthly or annually) unless you cancel it prior to the renewal date. By purchasing a subscription, you authorize us and our third-party payment processor (Stripe) to automatically charge your payment method for the recurring subscription fees.
• Cancellation Policy: You may cancel your subscription at any time. The effect of cancellation depends on your subscription plan:
  • Monthly Subscriptions: If you cancel a monthly subscription, your access to the App's premium features will be terminated immediately. You will not be charged for any subsequent months.
  • Annual Subscriptions: If you cancel an annual subscription, you will retain access to the App's premium features until the end of your current one-year term. Your subscription will not be renewed at the end of that term.
• Free Trials and Refunds: If you subscribed using a promotional offer, such as a free month or free year, it is your responsibility to cancel the subscription before the promotional period ends to avoid being charged. We do not provide refunds for subscription fees charged due to a failure to cancel after a promotional period has ended. All payments are final and non-refundable except as required by applicable law.

4. Payments (App Specific)

All payments for App subscriptions are processed securely by Stripe. We do not store your credit card information. You are responsible for ensuring your payment information is accurate and up to date to maintain your subscription.

5. Intellectual Property and Use of Material

All content, branding, and functionality of the Website and App—including all text, graphics, images, logos, software, and other materials (collectively, the “Material”)—are the exclusive property of Vitadel Services LLC (d/b/a The Winning Notary Formula Notary). The Material is protected under United States and international copyright, trademark, and other intellectual property laws.

• Limited License: You are granted a limited, non-exclusive, non-transferable license to (a) view the Website for your personal, noncommercial use, and (b) use the App for your own notary business operations.
• Restrictions: You may not sell, modify, reproduce, display, distribute, or otherwise use the Material for any public or commercial purpose without our express written permission. You shall not copy or adapt the HTML code used on the Website, nor may you copy, resell, or reverse-engineer the App. Unauthorized use of the Material is a violation of the law.

6. Acceptable Use and User Responsibilities

You agree to use the Website and App lawfully and professionally. You are prohibited from:

• Transmitting or storing any material that violates applicable law, infringes on intellectual property rights, is defamatory, obscene, threatening, abusive, or hateful.
• Violating or attempting to violate the security of the Website or App, including:
  • Accessing data or accounts you are not authorized to access.
  • Probing, scanning, or testing the vulnerability of our systems.
  • Interfering with service to any user, host, or network (e.g., by "spamming," "crashing," or introducing a virus).
  • Sending unsolicited emails, promotions, or advertisements.
• Using any device or software to interfere with the proper working of the Website or App.
• Disclosing or sharing your password with any third party.
• Attempting to decipher, decompile, disassemble, or reverse-engineer any software comprising the Website or App.

You are solely responsible for how you use the quotes and information generated by the App in your business.

7. No Resale or Unauthorized Commercial Use

You agree not to resell or assign your rights or obligations under these Terms. You further agree not to make any unauthorized commercial use of the Website or the App.

8. Disclaimer of Warranties

THE WEBSITE, APP, AND ALL MATERIAL ARE PROVIDED ON AN “AS IS” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE WINNING NOTARY FORMULA NOTARY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR APP WILL OPERATE ERROR-FREE, BE FREE OF VIRUSES OR OTHER HARMFUL MECHANISMS, OR MEET ALL OF YOUR BUSINESS NEEDS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VITADEL SERVICES LLC (THE WINNING NOTARY FORMULA NOTARY), ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON THE WEBSITE OR APP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE, APP, OR MATERIAL. IF YOUR USE OF THE WEBSITE OR MATERIAL RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, WE ARE NOT RESPONSIBLE FOR THOSE COSTS.

10. Links to Other Sites

The Website may contain links to third-party websites. These links are provided solely as a convenience and not as an endorsement of the content on such third-party sites. If you access linked third-party websites, you do so at your own risk.

11. Changes to Terms

We reserve the right to update or revise these Terms at any time. Your continued use of the Website or App after any changes constitutes your acceptance of the new Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Michigan. You agree that the sole jurisdiction and venue for any litigation arising from your use of the Website or App shall be an appropriate federal or state court located in Lansing, Michigan.
